1. Acceptance of Terms

Welcome to Operate Services FZCO ("Operate," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our platform for UAE business formation and operations management.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services. We reserve the right to update these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Use License

2.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our platform for your business formation and operations management needs.

2.2 Restrictions

You agree not to:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of our platform
  • Copy, modify, distribute, sell, or lease any part of our services or software
  • Circumvent or disable any security features or access controls of the platform
  • Use our services for any illegal, harmful, or unauthorized purpose
  • Attempt to gain unauthorized access to our systems, networks, or user accounts
  • Interfere with or disrupt the integrity or performance of our services
  • Use automated systems or software to extract data from our platform without permission

3. User Accounts

3.1 Registration

To use our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the accuracy of your account information and updating it as necessary.

Each account is intended for use by a single business entity. You may not share your account credentials or allow multiple entities to use the same account.

3.2 Account Security

You are responsible for safeguarding your account credentials (username and password) and for all activities that occur under your account. You agree to:

  • Choose a strong password and keep it confidential
  • Notify us immediately at [email protected] if you suspect unauthorized access to your account
  • Accept responsibility for all actions taken through your account, whether authorized by you or not

We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. User Content

"User Content" refers to any data, documents, information, or materials you upload, submit, or store on our platform, including business entity details, formation documents, and operational records.

Ownership: You retain all ownership rights to your User Content. By using our services, you grant Operate a limited, non-exclusive, worldwide license to use, store, process, and display your User Content solely for the purpose of providing and improving our services.

Responsibility: You are solely responsible for:

  • The accuracy, legality, and appropriateness of your User Content
  • Ensuring your User Content does not violate any laws or regulations
  • Compliance with UAE business formation and operational requirements
  • Obtaining all necessary rights, permissions, and consents for any content you upload

We reserve the right to remove any User Content that violates these Terms or applicable laws, without prior notice.

5. Payment Terms

5.1 Pricing

Our pricing is subject to change with advance notice. We will notify you of any pricing changes at least 30 days before they take effect. Your continued use of our services after a pricing change constitutes acceptance of the new pricing.

5.2 Billing

By providing payment information, you authorize us to charge the applicable fees to your designated payment method on a recurring basis until you cancel your subscription.

  • Payments are processed securely through third-party payment processors
  • You are responsible for keeping your payment information current and accurate
  • Failed payments may result in service suspension or termination
  • All fees are non-refundable unless otherwise stated or required by law

5.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period. No refunds will be provided for partial billing periods.

6. Intellectual Property

All intellectual property rights in our platform, including but not limited to software, designs, graphics, text, logos, trademarks, and other content (excluding User Content), are owned by or licensed to Operate Services FZCO.

Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited license to use our services as expressly permitted by these Terms.

You may not use our trademarks, service marks, or branding without our prior written consent.

7. Limitation of Liability

AS-IS Service: Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Guarantee: We do not guarantee that our services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

Limitation of Damages: To the maximum extent permitted by UAE law, Operate Services FZCO, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or business interruption
  • Cost of substitute services
  • Any other damages arising out of or related to your use or inability to use our services

Liability Cap: Our total liability to you for all claims arising from your use of our services shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Operate Services FZCO, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from or related to:

  • Your use of our services
  • Your violation of these Terms
  • Your User Content or any content you submit
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations, including UAE business laws

9. Termination

Your Right to Terminate: You may terminate your account at any time by canceling your subscription through your account settings or by contacting us at [email protected].

Our Right to Terminate: We may suspend or terminate your access to our services at any time, with or without cause, with or without notice, including but not limited to:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Conduct that we believe may harm our platform, users, or business

Effect of Termination: Upon termination, your right to use our services will immediately cease. We may delete your User Content after a reasonable period, subject to applicable laws and our data retention policies. You may request a copy of your data before termination.

10. Third-Party Services

Our platform may integrate with or link to third-party services, including payment processors, document providers, and other business tools. We are not responsible for:

  • The availability, accuracy, or content of third-party services
  • Any transactions between you and third-party providers
  • The privacy practices or terms of service of third parties

Your use of third-party services is subject to their respective terms and privacy policies. We recommend reviewing them before use.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates.

You agree to submit to the personal and exclusive jurisdiction of these courts for the purpose of litigating any such disputes.

12. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by us on our platform, constitute the entire agreement between you and Operate Services FZCO regarding your use of our services.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
